The Board of Directors of Infrastrutture Wireless Italiane S.p.A. appointed today by the Company's Shareholders' Meeting, has appointed Stefano Siragusa as Chair of the Board of Directors and Giovanni Ferigo as Chief Executive Officer and General Manager.
In addition to the legal representation of the company and the powers to which the Chair of the Company is entitled by law, Stefano Siragusa has been conferred powers to represent the Company in its external relations with all regulators, Italian and international institutions, investors and the media.
Mr Ferigo instead has been attributed the same managerial powers conferred on the previous Chief Executive Officer.
The Board of Directors has also confirmed that six of the eleven Directors (Francesca Balzani, Enrico Maria Bignami, Laura Cavatorta, Luca Aurelio Guarna, Filomena Passeggio and Secondina Giulia Ravera) meet the independence requirements laid down in the Corporate Governance Code and art. 148 of the Consolidated Law on Finance.
The Board also renewed the membership of the internal committees - whose remit and attributions are defined in the Corporate Governance Principles of the Company (available on the website www.inwit.it, “Governance” section) and were confirmed by the Board of Directors today - making the following appointments:
- Independent Directors Balzani, Guarna and Ravera for the Control and Risk Committee;
- independent Directors Bignami, Cavatorta and Passeggio for the Nomination and Remuneration Committee.
The Board of Directors, in line with the resolutions passed by the previous board members, has renewed the Board of Statutory Auditors' assignment to perform the function of supervisory body pursuant to Legislative Decree no. 231 of 8 June 2001.
The management body, finally, confirmed Mr Rafael Giorgio Perrino as the executive responsible for preparing the corporate accounting documents of Infrastrutture Wireless Italiane S.p.A.
